1. Agreement to Terms
By accessing or using EcomVault ("Service"), operated by Frank White International LLP ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.
These Terms comply with Shopify Partner Program Agreement, Google Cloud Platform's Terms of Service, and all applicable laws including GDPR and CCPA. By using our Service, you acknowledge that you have read and understood our Privacy Policy, which describes how we protect your data.

2. Description of Service

EcomVault provides a product management and optimization platform specifically designed for Shopify stores. Our Service focuses on:
- Product Management: Centralized control over your Shopify product catalog
- Content Optimization: Product title and description enhancement
- SEO Tools: Improve product discoverability and search rankings
- Analytics Integration: View advertising metrics from Google Ads, Facebook Ads, and Pinterest (optional)
- Bulk Operations: Efficiently manage large product catalogs
- Multi-Store Support: Manage multiple Shopify stores from one dashboard

Important: We are a product management tool. We do NOT store customer data, process payments for your store, or have access to your customers' personal information.

3. Account Registration
To use our Service, you must:
- Create an account with accurate, complete, and current information
- Be at least 18 years old or the legal age of majority in your jurisdiction
- Have the legal authority to enter into these Terms
- Not have been previously suspended or removed from the Service
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Platform Integrations

4.1 Shopify Store Connection
By connecting your Shopify store through OAuth, you:
- Grant us LIMITED permission to access ONLY product-related data
- Authorize us to read and update product information (titles, descriptions, SEO data)
- Confirm you are the store owner or have authorization to connect the store
- Acknowledge we do NOT access customer data, orders, or payment information
- Agree to comply with Shopify's Terms of Service and Partner Program Agreement

4.2 Advertising Platform Connections

If you choose to connect advertising platforms:
- Google Ads: Read-only access to campaign metrics (impressions, clicks, spend)
- Facebook Ads: View-only permissions for ad performance data
- Pinterest Ads: Analytics access for campaign reporting
- Security Commitment: All OAuth tokens are encrypted using AES-256-GCM encryption. We NEVER modify your ad campaigns or access billing information. You can revoke access at any time.

5. Acceptable Use Policy
5.1 Permitted Use
You may use the Service for:
- Managing products in your authorized Shopify stores
- Optimizing product content for better conversion and SEO
- Viewing analytics from connected advertising platforms
- Bulk editing product information efficiently

5.2 Prohibited Activities
You expressly agree NOT to:
- Access or attempt to access other users' data
- Use the Service for illegal or fraudulent purposes
- Generate false or misleading product information
- Violate intellectual property rights
- Attempt to bypass security measures or rate limits
- Scrape, harvest, or collect data for unauthorized purposes
- Share account credentials or API keys
- Use the Service to harm Shopify's platform or other merchants
- Violate Shopify Partner Program Agreement or API Terms

5.3 Data Security Responsibilities
You are responsible for:
- Maintaining secure account credentials
- Reviewing generated content before publishing
- Ensuring product information accuracy and legality
- Complying with applicable e-commerce regulations
- Protecting your connected platform credentials

6. Content Generation

Our Service may use technology to generate and optimize content. By using these features:
- You acknowledge that generated content may require review and editing
- You accept responsibility for all content published to your store
- You agree to review generated content for accuracy and appropriateness
- You retain ownership of content generated specifically for your products
- You grant us a license to use your inputs to improve our services

7. Intellectual Property Rights

7.1 Our Property
The Service, including its original content, features, and functionality, is owned by Ecomvault and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Your Property
You retain all rights to your product data, images, and content. By using our Service, you grant us a limited, non-exclusive license to process and display your content as necessary to provide the Service.

8. Payment, Billing and Taxes
Access to certain features requires a paid subscription:
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by EU consumer law
- We reserve the right to modify pricing with 30 days notice
- You authorize us to charge your payment method for all fees
- You are responsible for providing accurate billing information
- All payments are processed securely through Stripe

8.1 Value Added Tax (VAT)
As a UAE-based company, we are required to charge VAT according to EU regulations:
- EU Business Customers: Reverse charge mechanism applies with valid VAT ID
- EU Consumers: Dutch VAT rate of 0% applies
- Non-EU Customers: No VAT charged (0% rate)
All prices displayed exclude VAT unless stated otherwise

8.2 Invoicing
- VAT-compliant invoices issued for all transactions
- Invoices sent electronically to registered email
- Full compliance with Dutch and EU invoicing requirements

9. Data Processing and Privacy
Our commitment to data protection is fundamental to our Service:
- GDPR & CCPA Compliant: Full compliance with privacy regulations
- Data Minimization: We collect only essential data for service operation
- Encryption: AES-256-GCM encryption for all stored credentials
- No Data Sales: We NEVER sell your data to third parties
- Isolated Storage: Complete data separation between accounts
- Right to Deletion: Request complete data removal at any time
- Shopify Compliance: Adherence to Shopify's data protection requirements
- Google Cloud Compliance: Meeting all OAuth verification standards

10. API Usage and Limits
Use of our Service is subject to the following limitations:
- API rate limits based on your subscription tier
- Storage limits for products and generated content
- Fair use policies for generation features
- We may suspend access for excessive or abusive usage

11. Third-Party Service Compliance
We maintain strict compliance with all integrated platforms:
11.1 Shopify Integration
- Full compliance with Shopify Partner Program Agreement
- Adherence to Shopify API Terms of Use
- Respect for Shopify API rate limits
- Minimal scope permissions (products only)

11.2 Google Cloud Platform
- OAuth 2.0 verification compliance
- Limited use disclosure for Google Ads API
- Read-only access to advertising data
- No modification of campaigns or accounts

11.3 Other Integrations

- Facebook: Compliance with Facebook Platform Terms
- Pinterest: Adherence to Pinterest API Terms
- Payment Processor: PCI-DSS compliance through Stripe

12. Disclaimers and Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:
- The Service will be uninterrupted or error-free
- All defects will be corrected
- The Service will meet all your requirements
- Generated content will be completely accurate or appropriate

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

Our total liability shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the claim.

14. Indemnification
You agree to indemnify and hold harmless us, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you generate, publish, or distribute through the Service

15. Termination
We may terminate or suspend your account immediately, without prior notice, for:
- Breach of these Terms
- Fraudulent or illegal activity
- Non-payment of fees
- Actions harmful to other users or our Service

Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time through your account settings.

16. Data Retention and Export
Upon termination:
- You may export your data within 30 days
- We will delete your data after 90 days unless required by law to retain it
- Some anonymized data may be retained for analytics purposes

17. Governing Law and Jurisdiction
These Terms of Service and any separate agreements whereby we provide you Services are governed by and construed in accordance with the laws of the United Arab Emirates (UAE), without regard to conflict-of-law rules. To the extent relevant, the laws of the Emirate of Dubai apply in addition to UAE federal law.
Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively and finally by arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with the DIAC Rules then in force.
Seat/Place of arbitration: Dubai, United Arab Emirates
Language: English
Tribunal: One arbitrator (or three for complex/high-value matters, as determined under the DIAC Rules)
Expedited procedure: Applies where available under the DIAC Rules
Confidentiality: The proceedings, filings, and award shall be confidential to the maximum extent permitted by law
Interim relief: Either party may seek urgent injunctive or conservatory measures from the courts of Dubai without waiving arbitration

Consumer Protection. Nothing in these Terms limits any non-waivable consumer rights you may have under applicable UAE consumer protection laws or other mandatory law.
Alternative Dispute Resolution. We are not obligated to participate in any consumer mediation or ombudsman schemes outside the arbitration framework specified above.

18. Changes to Terms
We reserve the right to change the Terms at any time. You are responsible for regularly reviewing and complying with the Terms.

20. Shopify App Store Compliance
As a Shopify Partner and pending Shopify App Store application, we commit to:
- Full compliance with Shopify Partner Program Agreement
- Adherence to Shopify App Store requirements
- Responsible use of Shopify APIs with minimal required scopes
- Protection of merchant data according to Shopify standards
- No access to customer personal information or payment data
- Transparent data practices and clear privacy policies
- Regular security audits and updates
Our application focuses solely on product management and does not interact with customer data, orders, or payment processing within your Shopify store.

21. Google Cloud OAuth Verification
For Google Ads integration, we comply with Google's OAuth verification requirements:
- Limited use of Google Ads API for read-only analytics
- Clear disclosure of data usage in our Privacy Policy
- Secure storage of OAuth tokens with encryption
- No modification of Google Ads campaigns or settings
- Compliance with Google API Services User Data Policy
- Regular security assessments for API access
- See Section 18 of our Privacy Policy for detailed Google Ads Limited Use Disclosure.

22. Refund policy (Refunds)
EcomVault does not offer refunds unless required by law.
In exceptional cases, a refund may be granted, but:
A maximum of 85% of the amount paid will be refunded
The remaining 15% may be retained as a processing fee
Refunds are at the sole discretion of EcomVault

23. Warranty Terms
At EcomVault, we believe in the power of our software. That's why we offer a 100% money-back guarantee if you don't see a doubling of your sales within 30 days of purchase. This guarantee applies under the following, strict conditions:

Daily product testing:
You have actively tested at least 1 different product from our winners list daily for the first 30 days, visible on your advertising accounts and/or store analytics.

Active communication:
You have been actively in email contact with our support team about your progress, with information on:
which products you have tested;
your achieved results;
help questions or suggestions for improvement.

Proof of effort:
You can demonstrate that you have been actively working, o. including:
ads (ad account dashboards),
product pages (visible on your shop),
daily testing activities.

Shopify store set up:
You have set up a fully functioning Shopify store within the warranty period, including a product page, branding and checkout functionality.

Active ads running:
You have demonstrably run ad campaigns that have directed traffic to your Shopify store (via Meta, Google, TikTok or other platforms).

No right to money back if:
You have not tested at least 1 product daily;
You have not had active communication with us;
You have not set up a Shopify store;
You have not run ads;
You cannot provide sufficient proof of activity.

24. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Ecomvault regarding the use of the Service.
