Consent & User Agreement
By using EcomVault, you automatically agree to these terms. If you do not agree with (any part of) these terms, you may not use our software or services.

Age & Legal Capacity
To use EcomVault, you must be at least 18 years old or have reached the legal age in your country to enter into a binding agreement.

Changes to the Terms
EcomVault reserves the right to change the Terms at any time. You are responsible for regularly reviewing and complying with the Terms.

Legally Binding
These terms constitute a legally binding agreement between you and EcomVault.

Access to Your Shop Accounts
No Affiliation with Platforms
EcomVault is in no way affiliated with or endorsed by third-party e-commerce platforms such as Shopify, WooCommerce, Amazon, Bol.com, etc.

Own Risk
All actions performed within your Shop Accounts - including by EcomVault - are entirely your responsibility. EcomVault cannot be held liable for any consequences or damages resulting from actions within your accounts.

Liability
If you or EcomVault (on your behalf) violate the rules of an external platform, you as a user are fully liable. EcomVault bears no legal responsibility in this regard.

Third-Party Links
Do you link your account with third-party payment providers or digital wallets? Then the terms and conditions of those third parties also apply. In case of inconsistencies between their terms and those of EcomVault, the terms of the third party will prevail.

Use at Your Own Risk & Liability - EcomVault
Automated System with External APIs
No Liability of EcomVault
EcomVault (including employees, founders, shareholders and others involved) shall not be liable for:
Direct or indirect damages
Loss of revenue, sales or profits
Emotional damage or frustration
Physical injuries or other personal consequences
By agreeing to these terms, you irrevocably waive any and all claims against EcomVault.

Purchases through the Website
Products or services that you (or your customers) purchase through EcomVault are through third-party providers.
Any purchase or interaction is entirely on your own responsibility - EcomVault bears no liability.

Temporary or Permanent Unavailability
EcomVault reserves the right at any time to make the website or functionalities temporarily or permanently (partially) inaccessible, for example in case of:
Maintenance work
Technical problems
You accept that EcomVault is not responsible for this.

Responsibility for Collaborations with Third Parties
Every collaboration or transaction you enter into through or using EcomVault is your own responsibility, including any financial or legal consequences.

Sales Account Suspensions or Deletions
If your linked sales account is suspended, blocked or deleted by any platform:
EcomVault is in no way liable for these actions or their consequences.

Account Registration & User Account - EcomVault
Registration + Subscription Required
To use EcomVault, you need to:
Create a user account
An active subscription (as listed on our website under the available packages and prices)

Required Data
During registration, you will be asked to provide certain personal and business information, including:
Full name, email address and billing address
Unique username + password
Every additional data EcomVault deems necessary for proper operation of the software

Required and Correct Information
An account can only be created with correct and complete information. Incorrect, incomplete or outdated information may result in temporary or permanent blocking of your account. EcomVault may contact you to verify your information.

Honest User Information
It is not allowed to choose a username that imitates others, causes confusion or is misleadingIn case of intentional misuse or incorrect information, EcomVault may take legal action

Personal Use
Your user account is strictly personal. Only you may use the account. If a third party gains access to your account, you are violating the terms and conditions and EcomVault may immediately terminate your account without warning or right to a refund.

Security & Password Management
Keep your password secret and do not share it with anyone
Use a strong password and change it regularly
EcomVault can set up additional security measures, such as minimum password requirements

No Duplicate or Promotional Accounts
It is not allowed to:
Create multiple accounts
Create an account solely for promotional purposes
Exceptions are allowed only with written approval from EcomVault.

Security of Your Data
EcomVault stores passwords encrypted in accordance with applicable legal standards. If your account is hacked through your own negligence, EcomVault is not liable.
If you suspect a breach, you should report it to us immediately.

Registration of Minors - EcomVault Age Limit
People under the age of 18 are not allowed to create an account without the express consent of a parent or legal guardian.

Consent & Verification
If a minor wishes to register, a parent or guardian must:
Verify the registration request
Consent to use EcomVault
Eventually cooperate with an age or identity verification

Privacy Policy for Minors
If personal data of minors is provided, EcomVault's Privacy Policy applies. We treat this data with extra care and in accordance with applicable privacy laws.

Responsibility of Parents/Guardians
Parents or legal guardians are fully responsible for:
The behavior of the minor user
Complying with the terms and conditions
Eventual actions performed within the account
The parent or guardian must agree to these terms and conditions themselves.

What You Declare at Registration
By creating an account, you declare:

Have a valid subscription according to the package you have chosen

Everything that happens through your account is entirely your responsibility.

It is not permitted to use EcomVault for:
Unlawful or competitive uses:
Imitating EcomVault or developing competitive services
Personifying yourself as another person or as EcomVault itself

Misuse of content:
Copying, reselling, distributing or modifying content, product data or tools without express permission
Technical misuse:
Hacking, reverse engineering, password “mining ”Crawling with bots or spiders
Moderate or automated use that disrupts the servers
Uploading viruses, malware, trojans or other malicious software

Breach of users or infrastructure:
Unsolicited collection of personal information from other users
Attempts to access other accounts, systems or networks
Blocking, manipulating or bypassing advertisements or site functionality
Using unauthorized links or redirects (forwarding)

Consequences for Violation
For violating these terms or any law:
Your account may be temporarily or permanently deactivated or terminated
EcomVault has the right to seek compensation for damages, possibly through your account balance
You automatically lose any right to refunds, compensation or claims

Other Provisions
EcomVault reserves the right to:
Modify or remove content from the website at any time (including tools, products and prices)
Modify advertising and display terms and conditions without prior notice
Everything on the website - including recommendations, reviews or products - is not a guarantee but a suggestion. You act on your own responsibility.

Your Store & Content (Content) - EcomVault
Liability for Images & Product Display
Images and videos on the website are for illustrative purposes only.
Color, size or display may vary depending on screen settings or browser usage.
Products appearing through the platform are sold by third-party vendors, not by EcomVault itself. Purchases are therefore subject to the terms and conditions of those third-party sellers.

User Content - Your Own Content
Through your EcomVault account, you can add or import your own content, such as product data, titles, descriptions and images.
The following rules apply:
You certify that you:
Have the necessary rights for the posted content
Do not upload any confidential or sensitive information
Do not violate any third party rights (such as trademark, copyright or privacy)
Do not include any misleading, false or inaccurate information

License to EcomVault
By posting content, you grant EcomVault a worldwide, perpetual, irrevocable license to:
Use, store, copy, translate, edit and distribute
Display your content in conjunction with your name or company name
You waive claims regarding the use of your content, to the extent permitted by law.

Prohibited Content
It is prohibited to post or link content that:
Is unlawful, harmful, offensive or violent
Sexually explicit or inappropriate for minors
False, misleading or knowingly falsified
Infringes the rights of others (such as intellectual property)
Contains personal information without permission
Harms the reputation of EcomVault

No Monitoring of External Content
EcomVault does not monitor or verify external websites or user content in advance. EcomVault is not responsible for the content, safety or accuracy of external links or user contributions.
If you encounter third-party products or advertisements through EcomVault, you are solely responsible for the decision to engage with them.

Own Responsibility
You, as a user, are solely responsible for interactions with external content or websites.

Always read the terms and conditions of third parties carefully.
You may potentially come across content that is considered inappropriate or offensive - especially in public areas of the platform (such as chats or community features).

Complaints about Infringement?

EcomVault is not obligated to remove content, but will review the complaint carefully.

Payments & Subscriptions - EcomVault
Use of EcomVault is Payable
EcomVault is a paid service. All prices listed are subject to change at any time, with or without notice.
Subscriptions are recurring monthly, unless otherwise stated for a specific plan.
Unless you cancel the subscription yourself by emailing info@e-comvault.com, automatic renewal will occur.
Additional fees or processing fees may apply in the event of cancellation - please refer to the current information on the website.
Cancellations can be made at any time, but one month's notice is required. During this month of notice, your subscription remains active and you retain access to all features within your chosen plan.
For example: if you pay each month on the 12th and cancel on March 14, your subscription will continue until April 12 and one final payment will be made on that date.

Refund policy (Refunds)
EcomVault does not offer refunds unless required by law.In exceptional cases, a refund may be granted, but:
A maximum of 85% of the amount paid will be refunded
The remaining 15% may be retained as a processing fee
Refunds are at the sole discretion of EcomVault

Warranty Terms
At EcomVault, we believe in the power of our software. That's why we offer a 100% money-back guarantee if you don't see a doubling of your sales within 14 days of purchase. This guarantee applies under the following, strict conditions:
Daily product testing:
You have actively tested at least 1 different product from our winners list daily for the first 14 days, visible on your advertising accounts and/or store analytics.
Active communication:
You have been actively in email contact with our support team about your progress, with information on:
which products you have tested;
your achieved results;
help questions or suggestions for improvement.
Proof of effort:
You can demonstrate that you have been actively working, o. including:
ads (ad account dashboards),
product pages (visible on your shop),
daily testing activities.
Shopify store set up:
You have set up a fully functioning Shopify store within the warranty period, including a product page, branding and checkout functionality.
Active ads running:
You have demonstrably run ad campaigns that have directed traffic to your Shopify store (via Meta, Google, TikTok or other platforms).

No right to money back if:
You have not tested at least 1 product daily;
You have not had active communication with us;
You have not set up a Shopify store;
You have not run ads;
You cannot provide sufficient proof of activity.

Chargebacks & Cashback Claims
You waive the right to chargebacks or cashback through your credit card company.
Have a problem with a payment? Always contact EcomVault Support first.
If required by law, a refund may still be processed.

Purchases from Third Parties
EcomVault does not sell products itself. All purchases through the tool are through third-party sellers. Cancellations or returns are subject to:
Local laws in your country
The terms and conditions of the third party EcomVault is not liable for disputes, returns or cancellations with third party sellers.

Taxes & Additional Charges
Prices listed may include or exclude VAT, import duties or other charges.
You are responsible for any additional charges such as local taxes or customs duties.
In some cases, EcomVault may be required by law to withhold taxes or fees from amounts paid or received by you.

Security & Payment Information
The payment method used (such as credit card or PayPal) must be in your name.
Use of a payment method not belonging to you is at your own risk.
You are responsible for the security of your account and payment information.
EcomVault is not liable for damages resulting from your own negligence.
If abuse or unauthorized use is suspected: Report it to EcomVault Support immediately.

Invoices
Your invoices are available by requesting them via email info@e-comvault.com.
Invoices are not automatically sent via email.

Changes to the Services - EcomVault
Adjustments to the Service
EcomVault reserves the right at any time and without prior notice:
To modify, update, temporarily pause or permanently terminate functionalities
To remove or restrict certain content
To block access to (parts of) the software or specific functions
You will not be entitled to compensation in the event of modification, interruption or termination of the service. EcomVault is not liable for failures or interruptions, regardless of the cause (such as server problems, maintenance, Internet outages or third-party errors).

Termination of your Account
EcomVault may immediately and without prior notice suspend or terminate your account if you violate the terms and conditions or applicable law.
EcomVault may also remove associated content without any liability to you or any third party.
Termination may be made at any time, but one month's notice applies. During this month of notice, your subscription will remain active and you will retain access to all features within your chosen plan.

Privacy & Data Protection
EcomVault respects your privacy and processes your data in accordance with applicable privacy laws.
Personal information is collected, stored and processed according to EcomVault's official Privacy Policy.
By using the website or software, you agree to this privacy policy.

Intellectual Property Rights
All content on the website and in the software - including the technology, design, text, tools, branding and logo - are the exclusive property of EcomVault.
You may not use any EcomVault brand names, visual elements or content without express written permission.
All intellectual property rights, including copyrights, trademark rights and any patents, remain entirely with EcomVault.
This applies worldwide, regardless of whether there is a copyright notice with the content.

DMCA & Copyright Complaints - EcomVault
EcomVault complies with the provisions of the U.S. Digital Millennium Copyright Act (DMCA) and acts in accordance with the requirements for online service providers.

International Use & Regulations
Because EcomVault is accessible globally, you certify that you:
Do not engage in any illegal or unlawful activity through your EcomVault account, regardless of the country in which you are located
All relevant local, national and international laws and regulations are complied with while using our services

Among other things, you need to comply with regulations related to:
Consumer protection
E-commerce and online behavior
Allowed content
Intellectual property (such as copyright, trademark law, etc.)
Export and import rules for digital or technical data

Prohibited Conduct and Content
You may not use EcomVault for:
Activities that directly or indirectly harm minors
Promoting, buying or selling illegal or inappropriate products
Disseminating information about engaging in illegal activities
Calling for violence, hatred or bodily harm toward individuals, groups or governments
Promoting or encouraging animal cruelty

Reporting obligation of EcomVault
EcomVault reserves the right to:
Report violations of laws or suspicious behavior to appropriate government authorities
Other measures permitted by law to deter misuse of the platform

Indemnification - EcomVault
By using EcomVault, you agree to indemnify and hold EcomVault, its employees, partners and affiliates harmless from any damages, costs or claims of any kind, including (but not limited to):
Violation of these Terms of Use
Transgression of local or international laws
Claims from third parties arising out of your use of the software or website
Content (“User Content”) that you have posted, imported or integrated through EcomVault
Everything that happens through your user account, regardless of who performed the action
You are fully liable and obligated to pay all costs, damages, fines and legal fees.

Limitation of Liability “As-is” & “As-available
”The services and functionalities of EcomVault are provided as is (“as-is”) and as available (“as-available”), without any warranty.

EcomVault disclaims all express and implied warranties, including:
Fitness for a particular purpose
Uninterrupted or error-free operation
Results based on use
Guarantee of accuracy of data, product information or analysis
Any warranty based on custom or commercial practice

EcomVault will not be liable for:
Direct or indirect damages
Loss of data, profits, revenue or business opportunities
Delays, technical malfunctions or work interruptions

EcomVault is not liable for:
Errors in pricing, inventories, product descriptions or order processing
Problems with external links or API integrations
Unless willful misconduct (willful misconduct), EcomVault will not be liable even if potential damages were foreseeable.

Third Party Claims & Defense
In the event of third party legal claims related to your use of EcomVault:
EcomVault provides its own defense and legal strategy
You are obligated to cooperate fully in the settlement
You are responsible for reimbursing all costs arising from the claim
Even if EcomVault had prior knowledge of the risk of damage, it assumes no liability for it.

Governing Law & Mandatory Arbitration - EcomVault
Governing Law
The substantive law of the UAE shall govern these terms and conditions and the relationship between you and EcomVault, regardless of your place of residence or domicile. All disputes or legal issues arising out of or relating to these terms and conditions, the website or the services provided by EcomVault shall be governed by the laws of the UAE.

Mandatory Arbitration
All disputes relating to these terms and conditions – including their interpretation, performance, breach, or termination – shall be resolved exclusively and finally through arbitration. The arbitration shall be conducted in accordance with the rules of the Dubai International Arbitration Centre (DIAC) or another recognized arbitration institution in the UAE as agreed by the parties.The arbitration shall be conducted by one or more arbitrators appointed in accordance with the applicable rules. The arbitrator(s) shall have proven experience in handling commercial disputes and shall be selected accordingly.The seat of arbitration shall be Dubai, United Arab Emirates, and the proceedings shall be conducted in the English language, unless the parties agree otherwise in writing.

Expedited Arbitration Procedure
If the disputed amount at the time of filing for arbitration does not exceed €20,000 (or the equivalent in AED), the parties agree that the expedited arbitration procedure of the Dubai International Arbitration Centre (DIAC) shall apply, provided this option is available under the applicable rules.

Confidentiality & Costs
The arbitration proceedings will be recorded and, if necessary, transcribed. All proceedings will remain confidential unless disclosure is necessary to enforce an arbitration award.
Until the arbitrator(s) have rendered an award, the costs and fees of the arbitration will be shared equally between the parties, unless otherwise provided in the arbitration agreement.

International Character
This provision constitutes a binding arbitration agreement and has been drafted in accordance with the New York Convention (1958) and other applicable international arbitration laws.

Communications
By registering on and using EcomVault's website, you expressly consent to receive promotional, commercial and marketing-related communications from us, as well as functional communications such as:
Service updates
Important notifications related to your user account
Administrative communications about your use of the website or services
You may request to have your contact information removed from our mailing list and to receive no further marketing communications at any time.

The next business day after being sent by email, provided that no error message has been received

Any changes to these terms and conditions shall be binding from the time of publication on the EcomVault website.
